These Terms of Service ("Terms") govern your use of web scraping development services provided by Keyspace Solutions MB ("Service Provider", "we", "us", or "our"). By engaging our services, you agree to these Terms.
1. Services
We provide custom web scraping development services for real estate industry clients. Services include:
- Custom web scraper development
- Data extraction and structuring
- Delivery of data and/or source code
- Technical support as agreed upon in individual project quotes
2. Engagement Process
Our engagement process consists of:
- Client submits project requirements via our quote form
- We review requirements and provide a written quote
- Client approves the quote
- We complete the work and deliver the agreed-upon deliverables
- Client pays via Stripe B2B invoice after delivery
3. Communication
All communication will be conducted via email and written messaging. We do not conduct phone calls or video calls to maintain clear documentation of all project discussions and agreements.
4. Payment Terms
- Payment is due upon delivery of completed work
- Invoices will be sent via Stripe and are payable within 14 days of delivery
- Initial projects with new clients typically start at $100 or more
- Prices are quoted on a per-project basis
5. Deliverables
Deliverables may include:
- Extracted data in agreed-upon formats (CSV, JSON, database, etc.)
- Source code for web scraping scripts
- Documentation as agreed upon in the project scope
6. Client Responsibilities
Clients are responsible for:
- Ensuring they have the legal right to collect the requested data
- Compliance with applicable laws and website terms of service
- Providing clear and accurate project requirements
- Using delivered data and code in compliance with all applicable laws
7. Legal Compliance
Clients must ensure that their data collection activities comply with:
- Website terms of service and robots.txt files
- Data protection regulations (GDPR, CCPA, etc.)
- Computer fraud and abuse laws
- Intellectual property rights
- Any other applicable local, state, or federal laws
We reserve the right to refuse projects that may violate laws or ethical standards.
8. Intellectual Property
- Upon full payment, clients receive ownership of custom code developed specifically for their project
- We retain rights to reusable components, libraries, and general methodologies
- Clients own the data extracted on their behalf
9. Warranties and Limitations
Services are provided "as is" without warranties of any kind. We do not guarantee:
- Uninterrupted access to target websites
- That target websites will not change their structure
- Specific data availability or completeness
We will make reasonable efforts to deliver working solutions based on current website conditions.
10. Limitation of Liability
To the maximum extent permitted by law, our liability is limited to the amount paid by the client for the specific project in question. We are not liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Legal issues arising from client's use of delivered services
11. Confidentiality
We will maintain confidentiality of client project details and will not disclose proprietary information without written consent.
12. Modifications to Services
If target websites change after delivery, modifications may be requested as a new project and will be subject to additional fees.
13. Termination
Either party may terminate the engagement before work begins. Once work has commenced, clients may request termination and will be invoiced for work completed to date.
14. Dispute Resolution
Any disputes will be resolved through good faith negotiations. If resolution cannot be reached, disputes will be subject to the laws of the jurisdiction where Keyspace Solutions MB is registered.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted with a new "Last Updated" date. Continued use of our services constitutes acceptance of modified Terms.

17. Severability
