Terms of Service

These Terms of Service ("Terms") govern the services provided by Keyspace Solutions MB ("Service Provider", "we", "us", or "our"), a small partnership (mažoji bendrija) registered in Lithuania at Laisvės al. 82, LT-44250 Kaunas. By engaging our services, you agree to these Terms.
1. Services
We provide custom, freelance technical services, including:
- Web scraping and data extraction
- Robotic process automation (RPA)
- DevOps, infrastructure, and CI/CD work
- Online research, data sourcing, and enrichment
- Technical support as agreed in individual project quotes
2. Engagement Process
- The client submits project requirements via our quote form or by email.
- We review the requirements and provide a written quote in US Dollars (USD).
- The client approves the quote.
- We complete the work and deliver the agreed deliverables.
- The client pays via Stripe invoice after delivery.
3. Communication
All communication is conducted via email and written messaging. We do not conduct phone or video calls, in order to keep a clear written record of all project discussions and agreements. Our primary contact address is [email protected].
4. Pricing & Payment Terms
- All prices are quoted and charged in US Dollars (USD).
- Each project is quoted on a fixed, per-project basis before work begins.
- Initial projects with new clients typically start at $100 or more.
- Invoices are issued via Stripe and are payable by card within 14 days of delivery.
- There are no subscriptions, recurring charges, or auto-renewals.
Delivery, cancellation, and refund terms are described in our Refund & Delivery Policy, which forms part of these Terms.
5. Deliverables
- Extracted data in agreed formats (CSV, JSON, database, etc.)
- Source code for scraping and automation scripts
- Deployed pipelines, infrastructure, or configurations
- Research reports and enriched datasets
- Documentation as agreed in the project scope
6. Client Responsibilities
Clients are responsible for:
- Ensuring they have the legal right to collect, process, and use the requested data
- Compliance with applicable laws and third-party terms of service
- Providing clear and accurate project requirements
- Using delivered data, code, and infrastructure lawfully
7. Legal Compliance & Restrictions
We only undertake lawful work. Clients must ensure their activities comply with:
- Third-party website terms of service and robots.txt files
- Data protection regulations (GDPR, CCPA, etc.)
- Computer-misuse and fraud laws
- Intellectual property rights
- Applicable sanctions and export-control regulations
We reserve the right to refuse or discontinue any project that may violate laws or ethical standards.
8. Intellectual Property
- Upon full payment, the client receives ownership of custom code developed specifically for their project.
- We retain rights to reusable components, libraries, and general methodologies.
- The client owns the data extracted or researched on their behalf.
9. Warranties and Limitations
Services are provided "as is" without warranties of any kind. We do not guarantee:
- Uninterrupted access to third-party websites or systems
- That target websites or systems will not change their structure
- Specific data availability or completeness
We make reasonable efforts to deliver working solutions based on conditions at the time of delivery.
10. Limitation of Liability
To the maximum extent permitted by law, our liability is limited to the amount paid by the client for the specific project in question. We are not liable for indirect, incidental, or consequential damages, loss of profits, data, or business opportunities, or legal issues arising from the client's use of delivered services.
11. Confidentiality
We maintain the confidentiality of client project details and do not disclose proprietary information without written consent.
12. Modifications After Delivery
If target websites or systems change after delivery, modifications may be requested as a new project subject to additional fees.
13. Termination
Either party may terminate the engagement before work begins. Once work has commenced, the client may request termination and will be invoiced for work completed to date.
14. Dispute Resolution & Governing Law
Any disputes will first be addressed through good-faith negotiation. Failing that, disputes are governed by the laws of the Republic of Lithuania, where Keyspace Solutions MB is registered.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Updated Terms are posted with a new "Last Updated" date. Continued use of our services constitutes acceptance of the modified Terms.

17. Severability & Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. These Terms, together with the Refund & Delivery Policy, the Privacy Policy, and project-specific quotes, constitute the entire agreement between the parties.
